Windsor IWW Branch Bylaws

Article I: Name & Structure

(a) The name of this Branch of the Industrial Workers of the World (IWW) shall be Windsor General Membership Branch (GMB).

(b) The Windsor GMB constitutes a GMB for the City of Windsor and Greater Essex County, entitled to all of the rights and responsibilities stipulated by the IWW Constitution & General By-laws.

(c) The Branch Secretary-Treasurer is responsible for ensuring that this document is up to date and consistent with all official decisions made by the Windsor GMB membership.

(d) These by-laws shall be posted on the Windsor GMB website and a copy issued to all new members within sixty (60) days of receipt of their first month’s dues.

(e) Any part of these by-laws which conflicts with the IWW Constitution & General By-laws, or which conflicts with amendments ratified by a referendum vote by the Windsor GMB, are hereby declared null and void.

(f) These by-laws apply to all members of the Windsor GMB.

Article II: Membership

(a) Membership in the Windsor GMB shall be by voluntary association of IWW members in good standing who reside in the City of Windsor and Greater Essex County.

(b) The Branch Secretary-Treasurer shall maintain a list of all Windsor GMB members that includes full and current contact information, standing, Industrial Union number and membership number.

(c) The membership list shall be:

  1. verified by the Branch Secretary-Treasurer every six months without undue release of the contact details of any person to the public;
  2. made available to any Windsor GMB officer.

(d) All members of the Windsor GMB shall pay dues to the Branch Secretary-Treasurer or Branch Delegates, rather than directly to IWW Headquarters.

Article III: Meetings

(a) Windsor GMB meetings shall be held on a quarterly basis. Details for each upcoming meeting shall be confirmed at the previous quarterly meeting when possible. Meetings of the Windsor GMB shall generally be scheduled thirty (30) days in advance. A minimum of fourteen (14) days notice must be provided for the details of the meeting, including time and location.

(b) The Branch Coordinator shall notify all Windsor GMB members of the date, time and location of each upcoming meeting by distributing meeting minutes, email notification, and through other means as appropriate.

(c) Under unusual circumstances, an ad-hoc meeting of the Windsor GMB may be called according to the following guidelines:

  1. the Branch Secretary-Treasurer may coordinate the scheduling of an ad-hoc GMB meeting, provided that four (4) additional GMB members agree it is necessary; and
  2. if a vote or issue is time sensitive.
  3. all points discussed at an ad-hoc meeting are discussed at the next quarterly meeting.

(d) The Branch Secretary-Treasurer may coordinate the cancellation of a Windsor GMB meeting, but must explain their reasoning for this cancellation at the following meeting, and may not cancel two subsequent meetings. If five (5) Windsor GMB members agree that a meeting should not be cancelled, the meeting will proceed as usual regardless of the Branch Secretary-Treasurer’s ruling.

(e) Meetings shall be open to all Windsor GMB members in good standing. Members of other GMBs, at-large members, and members not currently in good standing may attend with voice but no vote. Non-IWW members may observe the meeting, provided that their presence be announced at the outset of the meeting and that Windsor GMB members vote to allow them to stay. Such persons may attend with voice but no vote.

(f) Membership cards may be checked at each Windsor GMB meeting for good standing in accordance with the IWW Constitution. Members who are not found to be in good standing, or who are not vouched for by a present Branch Delegate, will not be permitted a vote and shall not be counted in determining quorum. The meeting chair, co-chair, and/or recording secretary may vote and be counted in determining quorum, providing they are members in good standing and meet any and all other requirements.

(g) For the purpose of voting, there must be a quorum of no less than five (5) Windsor GMB members in good standing, or ten percent (10%) of the Windsor GMB membership in good standing, whichever is higher.

(h) All Windsor GMB decisions shall ultimately be determined by majority vote.

(i) Members may participate in and vote at meetings via electronic means, by-translation, or by proxy, presuming they meet the other requirements for participation and voting. A translator does not need to be a member to be present at the meeting. To vote by proxy, a member must contact a delegate and inform the delegate about how they wish to vote on a specific motion or specific motions, and the delegate will ensure the member’s vote is counted at the meeting.

Article IV: Officers

(a) No individual may speak for, or act as a public representative of, the Windsor GMB without a mandate to do so from the Branch.

(b) The Windsor GMB shall elect officers for the following positions:

  1. Branch Secretary-Treasurer
  1. Branch Delegate(s)
    1. The number of Windsor GMB Branch Delegates shall not exceed four (4), except in the case that the ratio of Delegates to other members exceeds one (1) Delegate for ten (10) members in good standing. In this case, the Windsor GMB membership may decide to increase the number of Delegate positions.
    2. Job Branches may elect their own Delegates. These positions will not be counted toward the number of Branch Delegate positions available for the Windsor GMB.
  2. Branch CanROC Liaison
  3. Branch Coordinator
  4. Literature Department Liaison
  5. Organizing Department Liaison

(c) As required, the Windsor GMB may create other officer positions. An appropriate statement of duties shall be created and voted upon by the GMB for any such position. Within ninety (90) days of the creation of a new representative position, the Windsor GMB By-laws must be amended to reflect this modification. Each additional officer shall be subject to the provisions of this article at all times.

(d) Officer duties shall be organized as follows:

  1. The Branch Secretary-Treasurer shall be responsible for:
    1. the preparation of an agenda for each meeting;
    2. notifying the membership of details for upcoming committee meetings;
    3. acting as the main contact between the Windsor GMB and the IWW General Executive Board;
    4. managing Branch correspondence not otherwise delegated to another Windsor GMB member;
    5. keeping and verifying a current membership list as per Articles II(b) and II(c);
    6. consolidating monthly Branch Delegate reports into a Branch Secretary’s Monthly Financial report;
    7. preparation of election ballots during regular and special elections;
    8. overseeing all Windsor GMB records and supplies currently held by delegates;
    9. attending quarterly Windsor GMB meetings and ad-hoc meetings whenever possible; and
    10. assuring the upkeep of these By-laws.
    1. regular accounting of all Windsor GMB funds;
    2. depositing Windsor GMB membership dues;
    3. writing and mailing cheques;
    4. reimbursing approved expenses;
    5. allocating funds at the direction of the Windsor GMB;
    6. making quarterly financial reports to the branch, which include the current balance of all Windsor GMB funds, and money earmarked for projects, committees or actions;
    7. keeping a financial record for the Windsor GMB, including logging revenue and expenditures;
    8. forwarding Quarterly Financial Reports to IWW CanROC; and
    9. attending quarterly Windsor GMB meetings and special meetings whenever possible.
  2. The Branch Delegate(s) shall be responsible for:
    1. signing up new members;
    2. orienting new members and providing them with IWW orientation materials;
    3. maintaining regular contact with membership;
    4. collecting monthly membership dues and placing stamps in members’ cards;
    5. submitting monthly dues collection and activity reports to the Windsor GMB Branch Secretary-Treasurer whether or not any dues have been collected;
    6. maintaining records of IWW materials in possession of the Windsor GMB;
    7. distributing IWW publications and literature;
    8. completing an annual inventory clearance form and submitting it to IWW CanROC;
    9. adding new members and eliminating non-members to the email list; and
    10. attending quarterly Windsor GMB meetings and ad-hoc meetings whenever possible.
  3. The Branch CanROC Liaison shall be responsible for:
    1. subscribing to, and keeping up to date with, the CanROC email list;
    2. informing the Windsor GMB membership of CanROC meeting motions in advance and getting a decision via electronic means from the Windsor GMB membership, when required;
    3. representing the views of the Windsor GMB over the CanROC email list or at other special CanROC meetings; and
    4. acting as the main contact between the Windsor GMB and CanROC.
  1. The Branch Coordinator shall be responsible for:
    1. following up with members organizing branch actions;
    2. maintaining the internal calendar, Facebook page, and Facebook group of upcoming branch actions, meetings, and events;
    3. acting as a liaison between members organizing actions and the Branch Secretary-Treasurer when necessary;
    4. being available to members with information about upcoming actions, events, and meetings;
    5. sending out ,via electronic means, notifications for upcoming Branch actions, meetings, and events, minutes from previous GMB meetings, agendas for upcoming GMB meetings, information from CANROC, and pertinent news from other IWW Branches and organizations; and
    6. attending quarterly Windsor GMB meetings and ad-hoc meetings whenever possible.
  2. The Literature Department Liaison shall be responsible for:
    1. obtaining materials for sale by the Windsor GMB.
    2. acting as a Second Signing Officer for the Windsor GMB Bank Account.
    3. coordinating presence at an events requiring merchandise or literature.
    4. reporting at Windsor GMB quarterly meetings when needed.
    5. attending quarterly Windsor GMB meetings and ad-hoc meetings whenever possible.
  3. The Organizing Department Liaison shall be responsible for:
    1. being a Liaison between the Windsor GMB and the IWW Organizing Department.
    2. being a Liaison between the Windsor GMB and the IWW OTC.
    3. reporting at Windsor GMB quarterly meetings when needed.
    4. attending quarterly Windsor GMB meetings and ad-hoc meetings whenever possible.

(e) The term of office for each Windsor GMB officer is one (1) year in length, from May 1 to April 30.

(f) There shall be no limit to the number of terms served by any Windsor GMB officer.

(g) An elected Windsor GMB officer may be recalled at any time. An official recall takes place by a majority vote of members in good standing at a regular or ad-hoc Windsor GMB meeting. A recall vote can take place when a recall petition, signed by a minimum of five (5) Windsor GMB members in good standing, is brought to a Windsor GMB meeting. Members not in good standing may sign a recall petition and participate in a recall vote if they have been inhibited from attaining good standing by the officer to be recalled. If a recall vote is successful, the officer’s term shall end immediately.

(h) Minimum notice for a recall vote is five (5) days.

(i) An elected Windsor GMB officer may resign at any time. In order to constitute an official resignation, the resigning officer must either make a verbal announcement at a Windsor GMB meeting or co-sign a statement (whether paper or digital) with one other Windsor GMB member in good standing.

(j) If a Windsor GMB officer is recalled or resigns, the nomination period shall open immediately and elections by secret ballot will take place at any Windsor GMB meeting which allows for thirty (30) days notice.

(k) Vacant officer positions may be filled by electing acting officers by majority vote at a regular or ad-hoc Windsor GMB meeting. The Branch Secretary-Treasurer is responsible for ensuring that all essential Windsor GMB tasks are completed in the interim prior to the election of a new officer(s). If the Branch Secretary-Treasurer office is vacant, this responsibility falls to the Branch Coordinator. An acting officer’s term shall begin immediately following their election and shall terminate when the previous incumbent’s term expires on April 30.

(l) All officers must be members in good standing. If any officer falls more than three months behind in payment of dues, they shall be given the option of catching up or being replaced.

Article V: Elections

(a) Regular elections for all officer positions shall take place annually at the April Windsor GMB meeting.

(b) In order to be eligible for election or re-election, a Windsor GMB member must be in good standing.

(c) A Windsor GMB member may be nominated for multiple offices and hold multiple offices.

(d) All members shall be notified of an election by the Windsor GMB Branch Coordinator at least thirty (30) days in advance of the election.

(e) All elections shall be by secret ballot at a Windsor GMB meeting. Members may vote in absentia by submitting a ballot to a Windsor GMB officer in a sealed envelope indicating the in absentia voter’s name, card number and the last month for which they paid dues. All personal information shall be discarded.

(f) Ballots are to be prepared by the Branch Secretary at least five (5) days in advance of the election in order that they can be used for in absentia voting. Each ballot must be printed on a letter-sized piece of paper.

(g) Newly elected officers’ terms shall begin on May 1, except in the case of an acting officer’s term, as per Article IV (k).

(h) Each member in good standing is entitled to cast one (1) vote for each office.

Article VI: Finances

(a) The Windsor GMB fiscal year shall run from May 1 to April 30, in accordance with which the membership shall create an annual budget.

(b) At the end of each fiscal year, there shall be a year-end financial review conducted by two Windsor GMB members elected by the membership.

(c) An audit of the Windsor GMB financial accounts by a third party shall take place if a petition, signed by five (5) Windsor GMB members in good standing, makes such a request.

(d) No financial proposal which allocates one-time grants exceeding twenty-five dollars ($25.00 CDN) or which involves recurrent expenditures of any amount shall be adopted by the Windsor GMB unless approved by majority vote.

(e) The Branch Secretary-Treasurer shall be authorized to dispense irregular funds of less than twenty-five dollars ($25.00 CDN) at their discretion, but these costs must be reported at the following Windsor GMB meeting.

(f) All sources of revenue and all expenditures must be recorded, including voluntary payments, donations and assessments.

(g) All cheques from the Windsor GMB must be signed by either the Branch Secretary-Treasurer or the Literature Department Liaison. Any reimbursement cheques to the Branch Secretary-Treasurer must be signed by the Literature Department Liaison,

(h) Strike Funds shall be collected at twenty (20) percent of Windsor GMB membership dues not remitted to CANROC or GHQ per month and be set aside in a special account. These dues shall be allocated for the specific purpose of providing compensation for strikes, lock-outs, arrests or any other costs incurred during work actions, pickets, demonstrations or other political activities at the discretion of the Windsor GMB membership.

(i) Barrier Contingency Funds shall be collected at five (5) percent of all Windsor GMB membership dues not remitted to CANROC or GHQ per month and be set aside in a special account, unless this account has reached a balance of $200. These dues shall be allocated for the specific purpose of ameliorating barriers that members face when trying to reach meetings and can be used for, but not limited to, baby-sitting, bus fare, or cab rides.

(j) The Branch Secretary-Treasurer and the Literature Department Liaison shall be authorized to dispense Barrier Contingency Funds of less than fifty dollars ($50.00 CDN) at their discretion, but receipts must be collected from the recipients. Receipts from this fund may only be made available to the GMB by a majority vote, but are made available to the members conducting the year-end financial review specified in Article VI (b) or to a third party conducting an audit specified in Article VI (c). No member may be dispensed funds more than once a month.

(k) As part of the Barrier Contingency Fund, the Branch Treasurer must maintain a pool of up to ten (10) Transit Windsor tickets, to be paid with Barrier Contingency Funds.

Article VII: IWW Shops

(a) IWW Shops of the Windsor GMB may be formed if five (5) or more Windsor GMB members are employed at the same workplace.

(b) A Windsor GMB Job IWW Shop may elect officers and compose its own by-laws, provided that they do not contradict the IWW Constitution & General By-laws or the Windsor GMB By-laws.

(c) Members in good standing of Windsor GMB IWW Shops are entitled to vote at Windsor GMB meetings and to hold elected office.

Article VIII: Committees

(a) The Windsor GMB may establish committees. These committees may compose their own by-laws, provided that they do not contradict the IWW Constitution & General By-laws or the Windsor GMB By-laws.

Article IX: Amendment of By-laws

(a) These by-laws may be amended by a majority vote of Windsor GMB members in good standing (including members who vote in absentia).

(b) Any Windsor GMB member in good standing may submit a proposal to amend these by-laws at a Windsor GMB meeting in January, April, July, or October. Amendments to a proposal to amend these by-laws may only be made at this Windsor GMB meeting. Notice of this proposal must be made in the meeting minutes, and a vote on the proposal can take place at the proceeding Windsor GMB meeting.

(c) Windsor GMB members shall be provided with at least thirty (30) days notice prior to a meeting at which a vote to amend the by-laws will be held.

Article X: Branch Policy

(a) The Windsor GMB will recognize a list of policies. These policies shall prescribe the rules and regulations pertaining to the conduct of the Windsor GMB. Policy shall be considered of unlimited temporal reference unless otherwise specifically defined in the motion.

(b) Policies may be amended by a majority vote of Windsor GMB members in good standing (including members who vote in absentia).

(c) Any Windsor GMB member in good standing may submit a proposal to amend or add policies at a Windsor GMB meeting in January, April, July, or October. Amendments to a proposal to amend or add policies may only be made at this Windsor GMB meeting. Notice of this proposal must be made in the meeting minutes, and a vote on the proposal can take place at the proceeding Windsor GMB meeting.

(d) Windsor GMB members shall be provided with at least thirty (30) days notice prior to a meeting at which a vote to amend or add policies will be held.
